And the said Bank and said Burdge are about to construct on,
and substantially cover, the whole of their said real estate hereinbefore
described by a brick business block, and are at this time making the excavations
for the basement for such building, and the said second party, the said North
Manchester Lodge Number 264, Independent Order of Odd Fellows, of said town of
North Manchester, is desirous of building a lodge room and home for such lodge
and order in connection with and as a part of such building about to be
constructed upon the real estate of said first party.
Now, therefore, said first party in consideration of the
promises and agreements of the second party hereinafter set out, and the further
consideration of the sum of money hereinafter agreed to be paid by second party
to first party, agrees by and with second party to go forward with the
construction of the said building as speedily as they may be able to do, and

on such foundation a brick business room one story high and ready for the joists

two stories high covering its said real estate, the walls of said rooms of said
Burdge and the said Bank to be built of the same kind and quality of material
and joined together as one  building.
And said second party agrees that when said first party has
so far constructed the said building as hereinbefore provided, it will pay in
cash to said first party the sum of four hundred dollars ($400.00), and will
build on the building of said Burdge two additional stories and on the building
of said Bank one additional story, all of such work, material and building to be
of the same kind and quality as is used by said first party in their part of
said building; and said second party agrees to cover said building with a good
and substantial slate and tin roof, and to at all times maintain such roof, and
to provide for and take care of the water discharged from said roof, by carrying
the same north to the alley on the north side of said building, and to take care
of such water in such manner as not to injure any of the surrounding property,
or any of the adjacent streets, alleys or lots, and agrees that as soon as first
party has built the parts of such building to be built by them, second party
will at once proceed to build its part of such building and complete its part of
it with as little delay as may be.
The stairway leading to the second story from Walnut street
is to be build one half by said Bank and one half by said Burdge, and after its
construction it is to be maintained equally by said Bank and said lodge, and is
to be used by all of the occupants of said building in common.
The upper or third story of all such building, and the second
or middle story of the Burdge side of such building, shall be owned and occupied
by said lodge, and is to be used by it only for lodge purposes, and it is never
to be used by it or any of its successors for any purposes except lodge
purposes, and when the same is no longer used for lodge purposes the same shall
revert to and become the property of the said Bank and said Burdge and to their
successors and assigns of such real estate, that is to say the part over the
said Burdge's land shall revert to and become the property of him, his
successors and assigns in ownership of said real estate, and the part over the
said Bank's land shall revert to and become the property of it, its successors
and assigns in the ownership of said real estate.
The said building is to be constructed above the basement
substantially as shown in the plans and cuts of the same hereto attached, marked
A, B and C, and which are made parts of this agreement the same as if copied as
full length into it.
Said second party agrees to construct the upper floor of said
building in a manner so as to deaden the sounds coming from its said lodge rooms
in such third story, and to build the second floor over the Burdge side of said
building double.
The foundation of such building, after its construction,
shall be maintained on Burdge's side by him, his successors and assigns, and on
the Bank's side by it, its successors and assigns.
And it is further agreed by both the parties hereto that this
agreement shall be binding upon their successors and assigns with the same force
and effect and in the same way and manner that it is binding upon them.
And it is further agreed by and between the second party and
said Burdge that said Burdge may extend the second story of his present brick
store room situate on lot one (1) of said sub-division north to and against the
said second story of the part of such building to be built by second party above
the land of said Burdge, and join it to said second story and use that part of
the wall of second party in common with it.
In Witness Whereof, the said parties have hereunto set their
hands and seals, and the seals of the said Bank and the said Lodge, the day and
year first above written.
